TERMS & CONDITIONS

1. Agreement

These Terms & Conditions (“Terms”) govern all services provided by Consider It Handled, LLC (“Company,” “we,” or “our”).

By engaging services, entering into a monthly retainer agreement, approving a proposal, or otherwise requesting services, you (“Client”) agree to be bound by these Terms.

These Terms apply to all Business Support and Life Support Concierge services provided by the Company.

2. Services

The Company provides structured Business Support and Life Support Concierge services on a monthly retainer or written project basis.

Services may include, but are not limited to:

  • Administrative coordination

  • Workflow and operational support

  • Calendar and scheduling management

  • Vendor coordination

  • Travel planning and logistics

  • Communication organization

  • Lifestyle coordination

  • Task execution support

Services are administrative and coordination-based in nature.

The Company does not provide legal, tax, accounting, investment, medical, or other licensed professional services.

3. Engagement Structure

A. Monthly Retainer

  • A defined number of service hours are allocated monthly.

  • Retainers are billed in advance.

  • Unused hours do not roll over unless agreed in writing.

  • Retainers secure availability and priority service access.

B. Project-Based Work

  • Scope must be defined and approved in writing.

  • Work outside scope requires written approval and additional compensation.

The Company reserves the right to limit engagements to preserve service quality.

4. Minimum Term

Unless otherwise agreed in writing, monthly retainers require a minimum commitment of three (3) consecutive months.

Early termination does not relieve the Client of financial obligations for the agreed minimum term.

5. Retainer Cancellation

After the minimum term:

  • Either party may terminate with thirty (30) days written notice.

  • Retainer payments are non-refundable once a service period begins.

  • Services continue through the end of the active billing cycle.

  • Outstanding balances remain due.

The Company may terminate services immediately for breach of these Terms.

6. Client Responsibilities

Client agrees to:

  • Provide accurate and timely information

  • Grant necessary system access

  • Respond promptly to communications

  • Review materials in a timely manner

  • Maintain professional conduct

Delays caused by Client inaction or incomplete information are not the responsibility of the Company.

7. Professional Conduct

The Company maintains a respectful and professional working standard.

Services may be suspended or terminated without refund if Client:

  • Engages in abusive, threatening, or inappropriate behavior

  • Requests unlawful or unethical actions

  • Harasses or discriminates

  • Compromises the Company’s professional integrity

8. Non-Solicitation

During engagement and for twelve (12) months following termination, Client agrees not to directly solicit, hire, or contract with any contractor, subcontractor, or representative of Consider It Handled, LLC without written consent.

9. Confidentiality

The Company will maintain reasonable safeguards to protect Client information.

Client acknowledges:

  • Electronic communications may carry inherent risks.

  • The Company is not liable for breaches beyond its reasonable control.

  • Client remains responsible for safeguarding credentials and account access.

Confidentiality obligations survive termination.

10. Business & Life Support Disclaimer

The Company provides administrative and coordination support only.

The Company does not act as:

  • Corporate officer

  • Fiduciary

  • Legal representative

  • Financial advisor

  • Compliance authority

All strategic decisions, regulatory compliance, financial commitments, and contractual obligations remain solely the responsibility of the Client.

11. Third-Party Vendors & Platforms

The Company may coordinate with third-party vendors or platforms.

The Company is not liable for:

  • Vendor errors

  • Platform outages

  • Pricing changes

  • Data breaches

  • Contractual disputes between Client and third parties

Client agrees to review third-party terms independently.

12. Payment Terms

  • Retainers are due prior to service commencement.

  • Late payments may result in service suspension.

  • The Company reserves the right to adjust pricing with thirty (30) days written notice.

  • Fees are non-refundable once services begin.

13. No Guarantees

The Company makes no guarantees regarding:

  • Business growth

  • Profitability

  • Vendor performance

  • Travel outcomes

  • Regulatory approvals

  • Operational results

Services are provided on a best-efforts basis.

14. Limitation of Liability

To the fullest extent permitted by law, Consider It Handled, LLC shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages.

This includes:

  • Loss of profits

  • Business interruption

  • Regulatory penalties

  • Data loss

  • Reputational harm

  • Opportunity costs

The Company’s total aggregate liability shall not exceed the total fees paid by Client in the thirty (30) days preceding the claim.

15. Indemnification

Client agrees to indemnify and hold harmless Consider It Handled, LLC from any claims, liabilities, damages, or expenses arising from:

  • Client-provided information

  • Client decisions

  • Third-party disputes

  • Misuse of services

  • Breach of these Terms

This obligation survives termination.

16. Force Majeure

The Company shall not be liable for delays or failure to perform due to events beyond its reasonable control, including but not limited to:

  • Natural disasters

  • Government actions

  • Cyber incidents

  • Power outages

  • Labor disruptions

  • Platform failures

17. Dispute Resolution

Any dispute arising under these Terms shall first be attempted to be resolved through good-faith negotiation.

If unresolved, disputes shall be resolved in the State of New Jersey.

The parties agree to submit to the exclusive jurisdiction of New Jersey courts.

18. Independent Contractor Status

The Company operates as an independent contractor.

Nothing in these Terms creates:

  • Employment

  • Partnership

  • Joint venture

  • Agency relationship

The Company does not have authority to bind the Client unless expressly authorized in writing.

19. Intellectual Property

All proprietary systems, templates, branding, workflows, and materials remain the intellectual property of Consider It Handled, LLC.

Unauthorized reproduction or distribution is prohibited.

20. Governing Law

These Terms are governed by the laws of the State of New Jersey.
